These Terms & Conditions govern your use of the Mossvale website and the advisory services we provide. Please read them carefully before engaging with us.

1. Definitions
In these Terms & Conditions:
- "Mossvale", "we", "us", or "our" refers to Mossvale, a business advisory firm based at Level 12, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 47500 Subang Jaya, Selangor, Malaysia.
- "Services" means the operational and sustainability advisory services described on this website, including the Operational Practices Review, Responsible Operations Programme, and Sustainability Advisory Programme.
- "Client" or "you" refers to any individual or organisation that engages Mossvale for advisory services or uses this website.
- "Engagement" means a specific advisory project agreed between Mossvale and the Client.
- "Deliverables" means documents, reports, plans, or other outputs produced during an Engagement.
- "Website" means the Mossvale website at mossvale.cyou.
2. Acceptance of Terms
By using this Website or engaging Mossvale for Services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation. If you are engaging us on behalf of a company, you warrant that you have authority to bind that entity.
3. Service Description
Mossvale provides non-regulated operational and sustainability advisory services to businesses. Our services involve reviewing operational practices, providing written observations and guidance, and supporting the adoption of responsible operational habits.
Our Services do not constitute legal, financial, medical, or any other form of regulated professional advice. Clients are responsible for their own decisions regarding any actions taken following our advisory work.
Services are available to organisations based in or operating in Malaysia. We reserve the right to decline any engagement at our discretion.
4. User Responsibilities
When using this Website or engaging with our Services, you agree to:
- Provide accurate and complete information when contacting us or entering into an engagement.
- Use the Website only for lawful purposes and in a manner that does not infringe the rights of others.
- Not attempt to access, alter, or disrupt any part of the Website or its infrastructure.
- Not submit false, misleading, or offensive content through any forms or communication channels.
- Cooperate with us reasonably during an engagement, including providing access to information, staff, and materials as agreed.
5. Intellectual Property
All content on this Website — including text, design, layout, graphics, and code — is owned by or licensed to Mossvale and protected under applicable Malaysian intellectual property law.
Deliverables produced during an engagement are provided to the Client for their internal business use only. The Client is granted a limited, non-exclusive, non-transferable licence to use those Deliverables within their own organisation. Deliverables may not be resold, sub-licensed, or presented as the Client's own independent work without our written consent.
Mossvale retains the right to reference the general nature of work completed (without disclosing confidential information) for portfolio and marketing purposes, unless the Client requests otherwise in writing.
6. Payment Terms
Service fees are agreed prior to commencement of each engagement. All fees are quoted and payable in Malaysian Ringgit (RM) unless otherwise stated in writing.
Payment terms will be set out in the engagement confirmation. Typically, a deposit is required before work begins, with the balance due on completion. Mossvale reserves the right to pause or conclude work if payment is significantly overdue.
Cancellations: If a Client cancels an engagement after work has commenced, a fee proportionate to the work completed will be payable. Any deposit paid is non-refundable unless Mossvale is unable to fulfil the engagement.
We do not offer refunds based on dissatisfaction with outcomes, as advisory work involves judgement and recommendations rather than guaranteed results.
7. Service Delivery
Engagement timelines are indicative. While we work to the agreed schedule, delivery may be affected by factors outside our control, including delays in receiving information from the Client.
Scope changes requested by the Client after an engagement has begun may result in revised fees and timelines, agreed in writing before the additional work proceeds.
We handle Client information shared during engagements with appropriate discretion and do not disclose it to third parties without consent, except where required by law.
8. Disclaimers
This Website and our Services are provided on an "as available" basis. We do not warrant that the Website will be uninterrupted or error-free, or that any specific outcome will result from engaging our Services.
Our advisory work reflects our professional judgement based on the information available at the time. We do not make representations about the specific outcomes or benefits a Client will experience.
Nothing in our Services constitutes legal, financial, tax, or regulated professional advice. Clients should seek appropriately qualified professional advice for regulated matters.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Mossvale's total liability to a Client in connection with any engagement shall not exceed the total fees paid by that Client for that engagement.
We shall not be liable for any indirect, consequential, or incidental losses, including loss of profit, loss of business, or reputational harm, whether arising from contract, negligence, or otherwise.
Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
10. Indemnification
You agree to indemnify and hold Mossvale, its directors, and staff harmless from any claims, costs, or losses arising from your breach of these Terms, your misuse of our Services or Website, or any false or misleading information you have provided to us.
11. Termination
Either party may terminate an engagement by providing reasonable written notice. Fees for work completed up to the termination date are payable by the Client.
Mossvale may terminate an engagement immediately if the Client breaches these Terms, engages in unlawful conduct, or fails to provide information reasonably necessary to complete the work.
Provisions relating to intellectual property, confidentiality, payment, and limitation of liability survive termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. Both parties will first attempt to resolve any dispute informally through good-faith discussion.
If a dispute cannot be resolved informally within 30 days, either party may refer it to mediation through the Malaysian Mediation Centre before commencing formal legal proceedings.
Any proceedings not resolved through mediation shall be subject to the jurisdiction of the courts of Malaysia.
13. General Provisions
- Entire agreement: These Terms, together with any written engagement confirmation, constitute the full agreement between the parties.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a business transfer.
- Notices: Formal notices should be sent in writing to the contact details below.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Website or Services after the effective date of any revision constitutes acceptance of the updated Terms.
For material changes affecting active engagements, we will notify affected Clients directly.
